TRUST DEED

THIS DEED OF TRUST executed on this 17th day of Jan 2022 by the following persons for the creation of a public charitable Trust in the name of “Millat Charitable Trust”.

The deed shall be effective w.e.f. 01st January 2022.

Trust Capital & Membership

The Founder Trustees hold the sum of Rs. 11,000/- (Rupees Eleven Thousand only each) including Trustees Membership fees. Initially, the working capital of the Trust is Rs. 77,000/-, which is kept with Mr. Imam Hussain Mansoori (Treasurer of Millat Charitable Trust) in cash.

The Trustees membership fees is Rs. 5,100/- (Rupees Five Thousand One Hundred only each) and shall be collected within 30 days of Trust registration. Failure to deposit within the stipulated time will result in automatic termination from membership.

Public Charitable Declaration

Nothing in this deed shall authorize the Trustees to act contrary to statutory provisions. All activities shall benefit the public at large, without profit motive, and comply with the provisions of the Income-tax Act 1961.

The Trust is hereby expressly declared to be a Public Charitable Trust and all provisions of this deed shall be construed accordingly.

Name: Millat Charitable Trust

Registered Office: 45, Opp. Nuri Jama Masjid, Aman Colony, Vigyan Nagar, Kota Rajasthan-324005 (or any other place as decided by Trustees). The Trust may operate throughout India.

Founder Trustees

Founder Trustees of the Trust shall hold lifetime membership. In case of death, insanity, or medical incapacity of a Founder Trustee, his/her chosen representative shall take their place as a permanent trustee.

Rights & Duties of Trustees

Rights & Duties of Founder Trustees

  • No separate rights, but final decision authority in disputes.
  • Final decision when general/executive body fails to conclude.
  • Adopt audited accounts and annual reports.
  • Consider matters permitted by constitution.
  • Nominate representatives for work or purposes.
  • Founder members shall hold positions in the executive body.

Trustees of the Trust

Trustees at the time of registration shall be lifetime trustees with voting rights.

General Body

All 123 Trustees (including minimum five female members) form the General Body.

Rights & Duties of General Body

  • Pass annual budget.
  • Amend constitution with ¾ majority & approval of Founder Trustees.
  • Adopt audited accounts & annual reports.
  • Co-opt or remove executive body members (by 2/3 majority).

Meetings

  • Annual General Meeting (AGM) once per year.
  • Extraordinary meetings if ¼ Trustees demand.
  • Quorum: 1/3 members, otherwise adjourned for 1 hour.
  • 7 days notice for AGM, 24 hours for urgent meetings.

Executive Committee

Responsible for administration, management, and control of Trust properties.

Powers

  • Manage assets & properties of the Trust.
  • Appoint employees & fix remuneration.
  • Invest funds in banks, securities, or properties.
  • Sell, mortgage, pledge Trust properties if required.
  • Open & operate bank accounts.
  • File suits, accept donations, seek legal opinions.
  • Co-opt members in case of vacancy.

Elected every 3 years from executive committee members.

Responsible for smooth functioning of the Trust, employ staff, manage day-to-day affairs, elections every 3 years.

Rights & Duties of Office Bearers

  • Chairman: Presides over all meetings, executive head of Trust.
  • Vice-Chairmen: Act in absence of Chairman.
  • General Secretary: Guides Trust work, prepares reports, sanctions routine expenses.
  • Joint Secretaries: Assist Secretary, act in his absence.
  • Treasurer: Maintains accounts, payments, prepares audited reports.
  • Cashiers: Assist Treasurer, act in his absence.
  • Advisors: Provide suggestions, opinions for betterment.
  • Executive Members: Support board, take responsibilities of sub-committees.

Termination of Trustees

  • Death, resignation, insolvency, or conviction.
  • Acting against the Trust’s interest or Indian Constitution.
  • Conduct that harms Trust’s reputation.

Executive Committee Meetings

  • At least 4 meetings annually.
  • Quorum: 1/3 of members.
  • 3-day notice (24 hours for urgent cases).
  • Minutes recorded by Secretary & signed by Chairman.

Funds & Investments

Trust may accept donations, grants, or contributions in cash/kind. Surplus funds to be invested in banks, securities, or properties. Bank account operated jointly as decided by the executive committee.

ACCOUNTS AND AUDIT

The Trustee shall keep proper books of account of all the assets, liabilities and income and expenditure of the Trust and shall prepare income and expenditure accounts and Balance Sheet for every year as on the last day of March. The accounts of every year shall be audited by a Chartered Accountant or firm of Chartered Accountants who shall be appointed for that purpose by the Trustees. The audited accounts shall be placed at a meeting of the Trustees, which shall be held before the end of the succeeding year.

AMENDMENT

The proposal of addition and/or amendment shall be sent to all the members along with the information of the meeting at least 15 days before the date of the meeting. Such amendment or addition shall be carried out by ¾ majority of votes.

DISSOLUTION

In the event of dissolution or winding up of the Trust, the assets of the Trust remaining on the date of dissolution shall under no circumstance be distributed among the Trustees. The same shall be transferred to another Trust, Society, Association, or Institute whose objects are similar to those of this Trust, as decided by the General Body.
